These Terms of Service ("Terms") are a binding agreement between Locale Development LLC ("Locale," "we," "us," or "our") and you ("you," "your," or "user"). They govern your use of the Locale mobile application, the website at localeapp.io, and any related services we provide (collectively, the "Service").
Please read these Terms carefully. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
By downloading, installing, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
We may update these Terms from time to time. If we make material changes, we will notify you in the app, by email, or by posting an updated version on localeapp.io/terms. Your continued use of the Service after changes take effect means you accept the updated Terms.
The Service is intended for use by individuals and businesses located in the United States. We currently distribute the Locale mobile app only through the U.S. storefronts of the Apple App Store and Google Play. If you access or use the Service from outside the United States, you do so on your own initiative and at your own risk, you are responsible for compliance with applicable local laws, and you understand that your information will be transferred to and processed in the United States.

We may refuse to register, suspend, or terminate any account that we believe violates these Terms or applicable law.
The Service supports two account types:
Individual accounts let you discover events, save events (heart button; stored as an RSVP), follow businesses, add events to your device calendar, share events, and manage your profile (including name, optional avatar, and short bio).
Business accounts are intended for businesses, venues, organizers, and similar entities. By creating a business account, you represent and warrant that:
Business accounts can create, edit, publish, archive, and cancel events; upload a business logo and showcase images; and access analytics about their own events. Saving other businesses' events is not currently available for business accounts. Publishing events requires admin approval of your business account and completed business phone verification (see Section 7).
You can sign in with email and password or with a third-party identity provider (currently Google and Apple). Your use of a third-party sign-in is also subject to that provider's terms and privacy policy. Email confirmation is required before you can fully use the Service.
Every account must also provide and verify a personal phone number (see our Privacy Policy).
You can delete your account from inside the app at Profile → Settings (gear icon) → Danger Zone → Delete Account. For security, deletion requires re-entering your account password. If you signed up with Google or Apple and do not have a Locale password on file, contact info@localeapp.io to request deletion, email change, or phone change. Download My Data works in-app without a Locale password (see our Privacy Policy).
You may also request account closure at any time by contacting info@localeapp.io. See Section 13 for what happens when an account is closed.
"Content" means anything you submit to or through the Service, including event listings, event descriptions, event images, business logos, business showcase images, profile photos, profile bios, business descriptions, and similar submissions.
You are solely responsible for your Content and for the consequences of submitting it. You represent and warrant that:
You grant Locale a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, copy, reproduce, display, distribute, modify (e.g. resize images), translate, and use your Content solely to operate, provide, improve, promote, and develop the Service. For example, this lets us:
This license ends when you delete the relevant Content from the Service, except that residual copies may persist in backups, caches, or systems where deletion is not technically feasible immediately, and except for Content that other users have shared (which may persist in their feeds or shares until removed).
Events may include free entry, fixed prices, price ranges, donation requests, "pay at door" pricing, or links to external ticketing providers. Locale does not currently process payments or sell tickets directly. Any purchase you make through a third-party ticketing link is between you and that third party, and is governed by their terms and policies. Locale is not responsible for third-party ticketing, refunds, or admission decisions.
When you save, follow, share, or otherwise interact with events, those interactions may be visible to the event's business owner in the form of aggregate counts and notifications, and in some cases to other users as counts on event cards. Users cannot currently post comments or ratings in the app.
You agree not to use the Service to:
We may, but are not obligated to, monitor, review, or remove Content that we believe violates these Terms or applicable law.
The Service includes location-aware features such as a map view, distance-based filtering, "nearby" event suggestions, and city/region detection. To use these features, you may be asked to grant the app permission to access your device location while you are using the app. We do not track your location in the background. Some features are also available without sharing your real-time location, in which case you can specify a location manually using the Discover map's location panel.
You acknowledge:
During our soft launch, new business accounts are created with an approval status of "pending" and are held on a pending-approval screen until Locale manually approves the account. While pending, you cannot use the main app or publish events. After you confirm your email, you may refresh your status from that screen or contact info@localeapp.io. We are currently prioritizing business accounts in Hoboken, NJ; businesses outside our launch area may remain pending until we expand to their region. Admin approval is separate from phone verification and does not constitute an endorsement, certification of legitimacy, or guarantee of any kind by Locale.
After your business is approved, you must verify a phone number associated with the business before publishing events. Verification is performed via an automated voice call delivered through Twilio Verify. The call is placed to the Google Places phone number stored for your listing when available (google_voice_phone), otherwise to the business phone number you provided.
By initiating verification, you authorize us and our verification provider to place an automated call to the phone number on file for verification purposes only. Your carrier's standard rates may apply. We rate-limit verification attempts (currently up to 5 per business per hour) to prevent abuse.
Verification status is informational only. Verification does not constitute an endorsement, certification of legitimacy, or guarantee of any kind by Locale. We may revoke verification at any time, including if we believe a business is misusing the Service.
If your business listing does not include a Google Places phone number suitable for automated voice verification, automated verification may not be available and your account may require manual review. Contact info@localeapp.io to complete verification in that case.
The Service relies on third-party platforms and service providers, including but not limited to:
The app includes an Amplitude analytics integration, but it is not currently active (no analytics API key is configured; no product-usage telemetry is sent). If we enable it in the future, we will update our Privacy Policy.
The Service may also link out to external sites, including business websites, social media, and ticketing providers. Your use of those services is governed by their own terms and privacy policies, and Locale is not responsible for them.
The Service, including its software, design, branding, logos, name "Locale," compilations, layout, and all other content we provide (other than user-submitted Content), is owned by Locale or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes (or, in the case of business accounts, to manage your own listings) in accordance with these Terms.
You retain ownership of your Content. You grant Locale the license described in Section 4.3.
If you send us feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use them without restriction.
Locale respects intellectual property rights. If you believe Content on the Service infringes your copyright, you may submit a notification under the Digital Millennium Copyright Act ("DMCA") to our designated agent:

Your notice must include the information required by 17 U.S.C. § 512(c)(3). We may terminate accounts of repeat infringers in appropriate circumstances.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
In particular, Locale does not warrant or represent that:
You are responsible for evaluating events, businesses, and other users before deciding to attend or interact, and you assume all risk associated with attending events.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.
LOCALE'S TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID LOCALE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (WHICH MAY BE $0 IF YOU USE THE SERVICE FOR FREE), OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so the above may not fully apply to you.
You agree to indemnify and hold harmless Locale and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
We may suspend or terminate your access to all or part of the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms, abused the Service, or created legal or safety risks for Locale or others.
You may stop using the Service at any time and may delete your account as described in Section 3.4. When your account is deleted:
Sections that by their nature should survive termination — including Sections 4.3, 9, 10, 11, 12, 13, 14, and 15 — will survive.
We may add, remove, or change features of the Service at any time. We may also restrict access to features (for example, to approved and verified business accounts only) or to specific regions. We are not liable for any modification, suspension, or discontinuation of the Service.
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state and federal courts located in New Jersey, and you consent to personal jurisdiction there.
